BBH is the main partner of the Prague Faculty of Law team (http://www.visprague.com/). The two day contest was attended by teams from ten different European law faculties and (hopefully) the Prague pre-Moot team, in whose preparation BBH significantly participated, was very highly rated by all.

Andrea Adamcová has cooperated with BBH since 2005 and specializes in banking and finance, M&A, securities and capital markets. Kateřina Vorlíčková has been with BBH since 2007 focusing on corporate and contractual law, M&A and due diligence. Tomáš Politzer joined BBH in 2004 and his practice concentrates, in particular, on the fields of civil and commercial litigation (court and arbitration proceedings), real estate, insolvency and bankruptcy law. 

The legal advice given in this project also included a legal assessment and consultation in order to resolve certain pre-existing litigation proceedings related to the company. The entire transaction was successfully concluded and settled at the end of January 2010.

The Vis is a faithful simulation of an international commercial arbitration in which teams comprised of elite students prepare their cases under the supervision of the teachers from the Law Faculty and practicing experts and professionals. On behalf of BBH, Robert Klenka, senior lawyer of BBH, participates on the Prague team. Competitions regularly have more than 200  teams participating from law faculties around the world and the arbitrators adjudicating the cases are recognized lawyers in the field of arbitration.

Jan Petřík, General Director of BBH Legal LLC, lectured at the forum ”Current Conditions for Czech Businessmen in the Russian Federation“, which was held on the 25th of November 2009 in Prague with the support of the Czech Center - Czech House in Moscow, the Ministry of Industry and Trade and the Economic Chamber of the Czech Republic.  Mr. Petřík’s talk was entitled  ”Summary of Recent Changes in the Russian Perspective as 2010 Approaches”.

This transaction may, without any doubt, be called the Real Estate Deal of the Year for 2009.

BBH advised SKODA HOLDING a.s. in the sale of its subsidiary Skoda Power, a.s. (the world's leading producer of steam turbines, heat exchangers and other technological devices in the energy field) to the Korean company Doosan Heavy Industries & Construction. The transaction is valued at about 11.5 billion CZK and the estimated time for the settlement is scheduled for November / December 2009. This transaction is regarded as one of the largest M & A transactions in the entire CEE region for 2009

Josef joined BBH in 2006 and specializes in commercial law, capital markets law, financial and banking law and M&A.

Effective April 2009, Petr Mlejnek became a Partner of BBH. Petr specializes in banking, finance and commercial law (including, but not limited to, mergers and acquisitions), structured financing (including various types of debt financing) and capital markets. A significant part of his practice also consists of the structuring, negotiating and drafting of standard loan and collateral documentation (both bilateral and syndicated) also structuring and preparing documentation for financial, especially credit and equity derivatives. Mr. Petr Mlejnek lectures on selected aspects of commercial and financial law at the Law faculty of Charles University in Prague and he has authored a number of published articles relating to the above areas of law.

Act No. 104/2008 Coll. on takeover bids transposed Directive 2004/25/EC of the European Parliament and Council on takeover bids where Czech law was not yet in conformity with European law and entered into force on 1 July 2008. Significantly, the most important change brought by the Act is the regulation of cross-border takeover bids, i.e. cases in which the securities issued by a target company are [also] listed in a member state different than the state of its corporate seat. The Act, however, contains many inaccuracies and provisions which are unclear and sometimes even incomprehensible. The BBH lawyers who authored this article have done well to bridge these deficiencies with suitable interpretations and offer solutions for the situations that may become problematic in praxis. The Article "Reams of Applications in Russia" focuses on the process of floating a firm in the Russian Federation and provides information about the commercial representation needed for such floatations for corporate branches, open and closed joint-stock companies and limited companies, what applications must be submitted and how to proceed.

The article "Tapping a Global Bonds Issue" was authored by Tomáš Sedláček, Lucie Hrivňáková and Pavel Kropáček and published in the periodical Právní rádce 5/2008. Our lawyers successfully dealt with issues which before now had not been practically resolved in the Czech Republic and included many queries and uncertainties. This article's special analysis of the arguments for the facilitation of the tapping of a global bonds issue provides valuable information about how the acquiring of additional funds proceeded. The article contains, above all, a consideration of the nature of global bonds, the supposed basic legal data for such tap of a bond, the optimal strategy with a view toward legal certainty and the least risk practice process in the tapping of a global bond document and consideration de lege ferenda.

A number of representatives attended the meeting of the American Bar Association (ABA) including representative of the Moscow Bar Association Mr. Henry Reznik, President of the Federal Bar Mr. Evgeny Semeniako, Vice-president of the International Union of Advocates and BBH Legal LLC, Partner Akhmed Glashev.
