Mgr. Tomáš Sedláček
Experience, Legal Specialization: Tomáš Sedláček joined BBH in 2002 and as of 2011 he became Partner. The main focus of Tomáš Sedláček’s practice is the area of banking and finance, structured finance (including aircraft finance), capital markets and commercial law (including, but not limited to, M&A and corporate law). Significant part of his work is dedicated also to providing professional counsel relating to securities and financial and commodity derivatives, as well as the preparation and negotiation of the associated legal documentation. In this connection Tomáš Sedláček became a member of the ISDA Central and Eastern Europe Committee.Apart from other things, the drafting and negotiating of both standard loan facility (bilateral and syndicated) and alternative financing and debt instrument documentation (such as credit linked notes, asset linked notes,leverage financing, asset backed financing, etc.) constitutes a significant part of his work.
In 2003, with his colleagues Mr. Tomáš Otruba and Mr. Petr Mlejnek, he acted as adviser on the structuring of securitisation transaction methods and the preparation of the relevant documentation. It was the first ever rated and completed securitisation not only in the Czech Republic,but in the whole of Central and Eastern Europe. In addition to the above, Mr. Tomáš Sedláček acted as legal counsel in respect of a wide number of interesting projects and transactions, including loan facilities, structured finance transactions, debt and share issues, purchase and subsequent financing of number of aircrafts. In 2007 Tomáš led the team of lawyers advising PPF group in executing the EUR 425 million bond offering, being the largest private bond offering listed on the Prague Stock Exchange. In 2009 he led the team of lawyers advising PPF group on their joint venture with J&T group forming the Energy and Industrial Holding, the volume of the transaction being approx. EUR 700 million. In 2011 Tomáš headed the team advising UK private equity fund AnaCap Fiancial Partners on regulatory and corporate matters relating the their acquisition of the Czech Banco Popolare subsidiary - this turned out to be a milestone transaction, as it was the first time ever that the Czech National Bank approved a private equity player to acquire a Czech banking institution.
Mr. Tomáš Sedláček lectures at the Law Faculty of Charles University and is the author of a number of articles relating to the above areas of law.
