Please note that our firm is the only domestic Czech law firm that is a Member of the ISDA Association. In this respect, we are of the opinion that, given the increase of our work in the derivatives segment during recent years, we are the only local firm which can honestly say that they have a daily practice in the field of derivatives.

  • Czech National Bank. BBH serves as advisor to the Czech National Bank on different derivatives and capital markets issues.
  • ČEZ, a.s. Share Buy Back. BBH acted as legal counsel to ČEZ, a.s., the largest electricity company in the Czech Republic, the shares of which have been admitted to trading on the regulated markets in the Czech Republic and Poland, in relation to the share buy-back of ČEZ shares up to the estimated volume of 60 billion CZK (approx. 2 billion EUR). This share buy-back transaction shall be considered as unique not only for its supposed value but also for the fact that it’s the first transaction of this kind in the Czech Republic which is carried out in full adherence to the guidelines and rules set out by the Commission Regulation (EC) No 2273/2003.
  • Zentiva Voluntary Take-Over Bid. BBH is advising ANTHIAROSE LIMITED, a 100% subsidiary of PPF Group N.V., on the intended voluntary takeover bid regarding all of the shares and global depositary shares of ZENTIVA N.V., a significant pharmaceutical producer. This is the first takeover prepared per the new Czech legislation compliant with EU law. The overall volume of this transaction is over 1 bn. EUR.
  • PPF Co 2 B.V. Bond Issue. BBH advised PPF banka a.s. as the arranger of the largest corporate bond issue placed on the Prague Stock Exchange. The issuer was PPF Co2 B.V. and the volume of the transaction was 11,250 mil. CZK (approx. 450 mil. EUR.).
  • HCFB Securitisation. BBH acted as legal counsel to PPF banka a.s., being one of the co-managers structuring and subscribing notes issued during the Home Credit & Finance Bank Ltd. (Russian Federation) securitization transaction, in volume exceeding 280 mil. EUR.
  • HCFB Eurobond Issue. In addition to the above, BBH acted as advisor to PPF banka a.s., as the manager of an Eurobond issue by Home Credit & Finance Bank, having the face-value amount of 200 mil. USD.
  • Home Credit Securitisation. BBH advised Home Credit a.s. as the originator on the extension of its securitization programme and listing of the securitisation notes on the Irish Stock Exchange having the face-value amount of approx. 4,7 mil. CZK. (approx. 188 mil. EUR.).
  • Home Credit a.s. Bond Issue. BBH acted as advisor to the issuer – Home Credit a.s. – in connection with the issue of bonds having a face-value amount of 3 bn. CZK (approx. 120 mil. EUR.), and their subsequent listing on the Prague Stock Exchange.
  • Home Credit B.V Bond Issue. BBH advised Home Credit B.V., as the issuer, on the issue of bonds having a face-value amount of 3 bn. CZK (approx. 120 mil. EUR.), and their subsequent listing on the Prague Stock Exchange.
  • Financing of Purchase of Transport Aircraft. At present, we provide legal guidance to a member of Sumitomo Corp. Group in connection with the financing of a Boeing 737 jet initially leased and operated by Czech Airlines.
  • Škoda Praha a.s. Share Listing. We have advised this major industrial firm on the issuing of its new tranche of shares now listed on the Prague Stock Exchange, including the drafting of a prospectus for this issue and its presentation.
  • Derivatives Practice. BBH belongs to the very narrow group of legal experts in the field of derivatives. Our services in the field are sought by numerous clients including the Czech National Bank, the Czech Treasury Association, Fortis Bank N.A., Komerční Banka, a.s., PPF banka a.s., Česká pojišťovna, a.s., Bawag Bank CZ a.s. (formerly Dresdner Bank CZ a.s.), Penzijní fond České pojišťovny, a.s., Home Credit & Finance Bank LLC, RP Capital Management Fund or PPF Global Markets.

We also participated in several highly specialized discussions, workshops and conferences conducted by the Komise pro cenné papíry (the Securities Committee) and the Czech National Bank, based on which national opinions on specific Czech legal matters have been adopted.
